The Group Strategy and M&A department advises the Executive Committee on the definition and monitoring of the group strategy. In addition it operates as the centralized expert team responsible for the execution of M&A opportunities for the group. To strengthen the team, we are looking for an M&A Director.

Responsibilities

MISSIONS :

 

  1. Drive venture growth through M&A execution (from sourcing to negotiating and closing) – 80%
  • Work alongside Heads of Business Units to identify strategic external growth axis (expertise, geographies) and involve them in setting criteria for a successful M&A pipeline supporting their business’ strategy and operations.
  • Devising M&A strategies, identifying companies that might be viable business targets. Researching market conditions and developments, identifying growth opportunities and business model innovation.
  • Initiate and lead deal negotiations with the targets and coordinate/align cross-functional teams in the transaction process.
  • Lead the holistic transaction process and participate to the full M&A deal cycle including sourcing, deal terms negotiation, commercial and/or operational due diligence, financial and legal due-diligence, legal documentation drafting and deal execution.
  • For potential targets of interest, create detailed business plans and financial analyses, including acquisition rationale and strategy, challenge of management projections, and valuation analyses in partnership with internal and external teams (PLG, 21 invest).
  • Develop inputs, assumptions, and drivers for business plan and modelling, with inputs from internal stakeholders (including Operations, Sales, Finance, HR, IT/IS teams).
  • Build and maintain productive relationships with our target companies and related network.
  • Conduct research and analysis to support management in evaluating specific companies within our industry.
  • Synthesize analysis, findings and recommendations into executive presentations for the Management Team and Investors.
  • Track inbounds from potential targets and their advisors; understand key attributes of the potential targets, including business models, financials, and fit with company strategic priorities.
  • Monitor M&A activity in the core business and adjacent sectors (including digital space), understanding and documenting strategic rationale for acquisitions, multiples paid, valuation drivers, and implications for the company.

 

  1. M&A integration: Support the post-merger integration activities (dedicated separate team) – 10%
  • Work alongside the PMI team to define the target operating model
  • Prepare closing to ensure business continuity, and support in the development of action plans by department (“day-one” readiness assistance)
  • Contribute to the design and implementation of the integration strategy

 

  1. Strategy – 10%
  • Support the company 3-year plan design and execution
  • Support PLG’s international expansion plans
  • Grow PLG’s understanding/awareness of its market and competitive environment
  • Contribute to specific internal projects or initiatives
  • Contribute to potential reporting to PLG shareholders

 

INTERACTIONS :

 

Interact with (i) all departments across PLG (Operations, Finance, Sales, HR, Quality, IT/IS), (ii) the investment team from 21invest, (iii) external partners and advisors (M&A advisors, Auditors, Strategy consulting), (iv) Targets’ management and owners.

Profile

  • 6+ years of relevant business experience, including M&A, private equity, corporate development, strategy consulting or venture capital.
  • Experience managing the full end-to-end life cycle of an M&A transaction from origination to close, including experience negotiating purchase agreement and other legal aspects.
  • Deal structuring, valuation, and financial/M&A modeling.
  • Business strategy.
  • Exceptional financial acumen.
  • High level in Office tools (mainly Excel and PowerPoint).
  • Fluent in English and French.
  • Project management capabilities, ability to plan, manage and deliver projects independently.
  • Strategic thinking. Teamwork. Proactivity.
  • Excellent communication/influencing/negotiation/organization skills.
  • Ability to build and maintain strong relationships.
  • Integrity, analytical skills and critical thinking.
  • High-level interaction skills having at the same time a hands-on profile.
  • Ability to convince and fill people with enthusiasm to work together and share expertise.
  • International experience.
  • Speak/write English and French fluently
  • Willing to travel when necessary (2-3 days / month)
  • Experience in Life Sciences and/or consulting services industry is a strong plus.
